How to Choose a Data Room Provider

A virtual dataroom (VDR) can be a valuable tool to reduce the time and effort required for mission-critical transactions, address bottlenecks and guide them towards the desired result. However not all VDRs are created equal, and choosing the wrong one could put your valuable documents at risk of unauthorized access, theft, or loss.

Be aware of how a vendor’s performance compares to other vendors based on these crucial criteria.

One of the most significant and most overlooked differences among VDR providers is their pricing model. Many older providers charge on a per-document basis which may be suitable for small projects that have well-defined document structures but it’s not ideal for larger, more ambiguous deals or M&A due diligence. The flat-rate pricing offered by the newer providers is a better option for large-scale projects or long-term contracts. Flat-rate monthly costs include unlimited pages, users, and storage.

Permission Setting

The granularity of the permission settings of the permissions settings of a VDR can significantly impact your ability to stay in line with confidentiality commitments and prevent misunderstandings. Look for options such as “view only” or the option to enable a watermark to prevent downloading of files intended to be used for consultation. Be sure to explore the details of your activity logs, which will help you identify obstacles to workflow, assess the level of engagement of your team and increase internal transparency.
